These Terms of Service ("Terms") govern your use of the Lyra platform at lyrappc.com ("Platform") operated by Lyra ("we," "us," or "our").
By creating an account or using our services, you agree to be bound by these Terms.
§ 01
Service description.
Lyra is a Google Ads optimization and analytics platform that provides tools for campaign analysis, performance monitoring, AI-powered recommendations, asset management, budget tracking, and account health diagnostics. Our platform connects to your Google Ads accounts via the Google Ads API to retrieve and analyze performance data.
Lyra is a tool to assist with Google Ads management. We do not guarantee specific advertising results, and the effectiveness of optimizations depends on many factors outside our control, including market conditions, competition, ad budgets, and the quality of products or services being advertised.
§ 02
Account terms.
Eligibility
You must be at least 18 years old and have the authority to bind yourself (or your organization) to these Terms. If you are using Lyra on behalf of a business or organization, you represent that you have the authority to bind that entity.
Account creation
You may create an account using Google OAuth or email/password registration. You are responsible for maintaining the security of your account credentials and for all activity under your account.
Google Ads access
By connecting your Google Ads account to Lyra, you authorize us to access your Google Ads data through the Google Ads API. You represent that you have the authority to grant this access. For MCC (Manager) accounts, you represent that you have appropriate access rights to the sub-accounts you connect.
Account responsibility
You are responsible for ensuring that all users within your organization who access Lyra comply with these Terms.
§ 03
Subscription and billing.
Pricing
$49 per month, per subscription. Subject to change with 30 days' written notice.
Free trial
New accounts may be eligible. Full platform functionality during the trial. Subscribe to continue at the end; access is otherwise suspended.
Billing cycle
Monthly. Payment is due at the start of each cycle, processed automatically via the payment method on file.
Payment methods
Credit card and other methods supported by our payment processor (Stripe).
Refunds
We do not offer refunds for partial billing periods. If you cancel, you retain access through the end of your current cycle.
Failed payments
We retry. If payment is not received within 7 days of the due date, we may suspend access until resolved.
Taxes
Prices are exclusive of applicable sales tax, VAT, or other taxes. You are responsible for any taxes applicable to your subscription.
§ 04
Acceptable use.
You agree to use Lyra only for lawful purposes and in accordance with these Terms. You agree not to:
Use Lyra to violate any applicable law, regulation, or third-party rights
Attempt to access accounts or data that do not belong to you
Reverse-engineer, decompile, or disassemble any part of the platform
Use automated scripts, bots, or scrapers to access the platform outside of provided APIs
Share your account credentials with unauthorized users
Resell or redistribute access to Lyra without our written consent
Interfere with or disrupt the platform's infrastructure or other users' access
Upload malicious code, viruses, or harmful content
Use the platform to send spam or unsolicited communications
Misrepresent your identity or authority to access connected Google Ads accounts
We reserve the right to suspend or terminate accounts that violate these terms, with or without notice depending on the severity of the violation.
§ 05
Google Ads data and API access.
Data access
Lyra accesses your Google Ads data through the Google Ads API under your authorization. We comply with Google's API Services Terms of Service and the Google API Services User Data Policy, including Limited Use requirements.
Operator note · 01
Your data remains your property. We do not claim ownership of any data you provide or that we access through your Google Ads account. We do not sell your data, and we do not use it for advertising purposes — only to provide the analytics, recommendations, reports, and monitoring you signed up for.
Write-back operations
Certain Lyra features may create or modify assets within your Google Ads account (such as creating text assets or managing negative keywords). These operations are performed only upon your explicit instruction through the platform interface. You are responsible for reviewing changes before confirming them.
API limitations
Our platform's access to Google Ads data is subject to Google's API rate limits and policies. Temporary service disruptions may occur due to API limitations outside our control.
§ 06
Intellectual property.
Our platform
Lyra, including its software, design, features, documentation, and branding, is owned by us and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform for your internal business purposes.
Your data
You retain all rights to your data, including Google Ads performance data and any content you create within the platform (notes, reports, configurations).
Feedback
If you provide suggestions, ideas, or feedback about Lyra, you grant us a non-exclusive, royalty-free, worldwide license to use that feedback to improve our platform without any obligation to you.
§ 07
AI-generated content.
Lyra uses artificial intelligence to generate optimization suggestions, performance insights, and reports. AI-generated content is provided as recommendations only. You are responsible for reviewing and deciding whether to act on AI-generated suggestions. We do not guarantee the accuracy or effectiveness of AI-generated recommendations.
§ 08
Service availability.
We strive to maintain high platform availability but do not guarantee uninterrupted service. We may experience downtime for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance.
We are not liable for losses arising from service interruptions, including but not limited to missed optimization opportunities or delayed data access.
§ 09
Limitation of liability.
To the maximum extent permitted by law:
Lyra is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
Our total liability for any claims arising from your use of Lyra shall not exceed the total fees paid by you in the 12 months preceding the claim.
We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or lost business opportunities, even if we have been advised of the possibility of such damages.
We are not responsible for the performance of your Google Ads campaigns, changes to Google's advertising platform or policies, or third-party services integrated with Lyra.
§ 10
Indemnification.
You agree to indemnify and hold harmless Lyra and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the platform, your violation of these Terms, or your violation of any third-party rights.
§ 11
Termination.
By you
You may cancel your subscription at any time through the platform or by contacting support@lyrappc.com. Cancellation takes effect at the end of your current billing cycle.
By us
We may suspend or terminate your account if you violate these Terms, if your payment is delinquent for more than 30 days, or if required by law. In cases of serious violations, we may terminate without notice.
Effect of termination
Upon termination, your access to the platform is revoked. Your data is retained for 30 days, during which you may request an export. After 30 days, your data is deleted in accordance with our Privacy Policy.
§ 12
Modifications to terms.
We may update these Terms from time to time. When we make material changes, we will notify you by email or through the platform at least 30 days before the changes take effect. Your continued use of Lyra after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the platform and cancel your subscription.
§ 13
Governing law and disputes.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of Lyra shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations or security breaches.
§ 14
General provisions.
Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lyra regarding your use of the platform.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
Waiver
Our failure to enforce any provision does not constitute a waiver of that provision.
Assignment
You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction.
